Terms of Service

Pawlo operates a structured local intelligence platform that:

• Collects nuanced business data (specializations, availability, deal signals, pricing, and other qualitative intelligence) from local businesses, event organizers, and wholesale suppliers
• Structures and indexes that data into machine-queryable profiles
• Exposes that data to authorized API users via a Model Context Protocol (MCP) API, enabling AI agents and applications to answer buyer queries with accurate, nuanced local intelligence

Pawlo serves two primary groups: API users (developers and companies building AI-powered applications) and listed businesses (businesses, organizers, and suppliers contributing data).

The primary contractual users of the Service are: (a) API users, (b) listed businesses, (c) BIA and BRZ district partners, and (d) website visitors to the extent applicable to their use of the Service.

We may modify, add, suspend, or discontinue any part of the Service, including API features, schemas, integrations, or access methods, at any time.

2.1 Access. API access is granted at Pawlo's sole discretion following review of your application. Access may be revoked at any time if you violate these Terms or if Pawlo determines your use is inconsistent with the platform's purpose.

2.2 Permitted use. You may use the Pawlo MCP API to build AI-powered applications and agents that help end users discover and connect with local businesses, events, and services. You may use query results within your application to inform or power responses to your users.

2.3 Prohibited use. You may not:

• Resell, sublicence, or redistribute raw Pawlo data as a standalone data product
• Use query responses to train, fine-tune, or otherwise improve any machine learning model without written permission from Pawlo
• Reverse-engineer, scrape, or attempt to replicate the Pawlo database through systematic API calls
• Use the API for any purpose that violates applicable law, infringes third-party rights, or could damage Pawlo or the businesses listed on the platform
• Share API keys with unauthorized parties or exceed rate limits designed to ensure fair access

2.4 API keys. You are responsible for keeping your API key confidential. You are liable for all activity conducted under your key. If you suspect your key has been compromised, notify us immediately at [email protected].

2.5 Billing. Access tiers and pricing are described at pawlo.ai/pricing and in any separate order form or agreement. Pricing varies by use case and sector. BIA district billing is described in Section 3A; restaurant SMS billing is described in Section 3B. We reserve the right to modify pricing with 30 days' notice to active API users. Invoices are due within 30 days of issuance. Overdue accounts may have access suspended. All fees are exclusive of applicable taxes, which will be charged where required by law. Unless otherwise stated, fees are non-refundable. If you dispute an invoice, you must notify us before the due date and describe the basis of the dispute in reasonable detail.

3.1 Listing is free. Submitting your business to Pawlo is free. Basic listing, data structuring, and AI visibility are provided at no cost. Premium services (BIA district agreements, SMS real-time updates) are described in Sections 3A and 3B.

3.2 Data accuracy. You are responsible for the accuracy of all information you submit. By listing on Pawlo, you represent that you have the authority to submit the information and that it is accurate, complete, and not misleading.

3.3 Data licence. By submitting data to Pawlo, you grant 1543851 Alberta Ltd a non-exclusive, royalty-free, worldwide licence to store, reproduce, normalize, structure, classify, tag, index, adapt, and make your business data available via the Pawlo API for the purpose of connecting you with potential buyers. This licence includes the right to structure, normalize, classify, tag, index, and serve menu data (dishes, prices, descriptions, dietary tags, allergens) to AI agents and applications via the Pawlo MCP API. This licence continues for as long as your listing is active. You may remove your listing at any time (see Section 3.5).

3.4 SMS consent. If you participate in Pawlo's SMS programs (including the free deal-signal notifications and the paid real-time update service described in Section 3B), you consent to receiving and sending automated SMS messages related to your listing. Standard message and data rates may apply. You may opt out of SMS at any time by replying STOP.

3.5 Removal. To remove your listing and associated data from Pawlo, email [email protected]. We will remove business profile data from active systems within 14 days of a valid removal request. Related data such as cached derivatives, logs, and backups may take up to 30 days to be fully removed. Data already returned in prior API responses may persist in downstream systems outside our control. When a BIA cancels its district agreement, individual restaurant listings that were created during the agreement persist unless the restaurant also requests removal. BIA cancellation stops the district-level service (quarterly reports, bulk onboarding) but does not force-remove restaurants that were individually onboarded or that submitted data directly. Where a restaurant has been onboarded into Pawlo and a listing has been created, that listing is treated as the restaurant's ongoing business profile within the Service unless and until the restaurant requests removal.

A Business Improvement Area (BIA) or Business Revitalization Zone (BRZ) may contract with Pawlo on behalf of its member restaurants for district-level AI readiness services.

Pricing. $10/restaurant/month, capped at $500/month. Annual option: $5,000/year. Restaurant count is based on the count at time of agreement. Significant changes (greater than 20% growth) may be subject to renegotiation.

Includes. Onboarding all member restaurants, data structuring, llms.txt generation, MCP integration, and quarterly board reports.

Payment. The BIA is responsible for payment. Pawlo's contractual obligations are to the BIA, not to individual member restaurants.

Cancellation. 30 days written notice to [email protected]. Annual contracts are non-refundable after the first 30 days, but service continues through the end of the paid term.

Individual restaurants may subscribe to the SMS real-time update service at $10/month, billed annually ($120/year). The restaurant consents to receive and send automated SMS messages for data updates (hours, specials, closures, menu changes). Standard message and data rates may apply.

Cancellation. Email [email protected]. No refund for the remaining annual term.

All users of the Service agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, provincial, national, or international law
• Transmit any content that is defamatory, fraudulent, harassing, abusive, or harmful
• Introduce viruses, malware, or other malicious code into the Service
• Attempt to gain unauthorized access to Pawlo systems, accounts, or data
• Interfere with the availability or performance of the Service for other users
• Use automated tools to generate fake listings, fraudulent queries, or artificial traffic

5.1 Pawlo IP. The Pawlo platform, software, schema design, brand, and aggregated data structures are the intellectual property of 1543851 Alberta Ltd. Nothing in these Terms transfers ownership of Pawlo's intellectual property to you.

5.2 Your content. You retain ownership of the business data you submit. You grant Pawlo the licence described in Section 3.3 only.

5.3 Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant Pawlo an unrestricted, royalty-free licence to use that feedback without obligation to you.

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and disclose information. By using the Service, you acknowledge that you have read our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Except as expressly set out in a separate written Service Commitments document, the Service is provided on an as-is and as-available basis and any targets, expectations, or support timelines are subject to commercially reasonable efforts and do not constitute hard guarantees.

Pawlo does not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Business data returned through the API is complete, accurate, or current
• Results from match_buyer or other API tools constitute an endorsement of any particular business

Pawlo is an intelligence layer — we surface information contributed by businesses. We are not a party to any transaction between API users and listed businesses, and we accept no responsibility for the outcome of such transactions.

Pawlo does not control how third-party AI agents (including but not limited to ChatGPT, Claude, Google Gemini, and others) interpret, present, or act on data provided via the Pawlo API. Pawlo is not liable for any recommendation, omission, or error made by a third-party AI agent, even if that agent consumed Pawlo data.

Pawlo processes data as received from restaurants, BIAs, and public sources. Pawlo does not independently verify the accuracy of menus, hours, prices, allergen information, or any other business data. The submitting party is the source of truth and is responsible for data accuracy.

Businesses and end users should confirm critical information directly with the business before relying on it, especially with respect to allergens, dietary requirements, pricing, hours, availability, and temporary offers. Pawlo does not provide medical, nutritional, legal, financial, or other professional advice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAWLO'S TOTAL AGGREGATE LIABILITY TO ANY CUSTOMER FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES ACTUALLY PAID BY THAT CUSTOMER TO PAWLO IN THE 6 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL PAWLO (1543851 ALBERTA LTD), ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS BE LIABLE FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, REPUTATIONAL HARM, LOST BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF PAWLO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF YOU HAVE NOT PAID ANY FEES TO PAWLO, PAWLO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED CAD $100.

You agree to indemnify, defend, and hold harmless Pawlo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your submitted content, your violation of these Terms, or your violation of applicable law or third-party rights.

By you. You may stop using the Service at any time. To close your API account or remove a business listing, contact [email protected].

By Pawlo. We may suspend or terminate access immediately for violations of these Terms, security issues, legal risk, non-payment, or misuse of the Service. We may also discontinue or change the Service, in whole or in part, at our discretion. Where practicable, we will provide reasonable notice before discontinuing services to paying customers.

Sections 3A (payment obligations), 3B (payment obligations), 5, 7, 8, 9, 11, 12, 14, and 15 survive termination of these Terms.

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Alberta, Canada. You waive any objection to venue in Alberta.

Before initiating any formal proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally for a period of 30 days.

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. If you are an active API user, we will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

Entire agreement. These Terms, together with our Privacy Policy, Service Commitments, and any applicable order forms, constitute the entire agreement between you and Pawlo regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No waiver. Failure by Pawlo to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Pawlo may assign these Terms in connection with a merger, acquisition, or sale of assets.

Pawlo is not liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond Pawlo's reasonable control, including but not limited to: natural disaster, war, terrorism, pandemic, government action, third-party service outages (including Cloudflare, Anthropic, Postmark, Twilio, and Google), changes to third-party AI platform APIs or policies, regulatory changes, or any other cause beyond Pawlo's reasonable control.

Pawlo complies with Canada's Anti-Spam Legislation (CASL). Commercial electronic messages (email, SMS) are sent only with express or implied consent as defined under CASL.

You may withdraw consent at any time by emailing [email protected] or replying STOP to any SMS.

Pawlo maintains consent records as required by CASL.

Certain features of the Service may be designated as beta, experimental, or early access. These features may be changed, suspended, or removed without notice and may not be covered by the SLA or supported at the same level as generally available features.

Use of beta features is at your own risk.

Pawlo reserves the right to monitor usage patterns and investigate suspected abuse, unauthorized scraping, systematic data extraction, or breaches of these Terms. Pawlo may take technical or legal measures to enforce these Terms, including seeking injunctive or equitable relief where necessary.
